Welcome to EquiSuite. These Terms of Service ("Terms") are an agreement between you and EquiSuite, LLC ("EquiSuite," "we," "us," or "our"). They cover your use of equisuite.io, our coaching programs, our CRM and automation software, and our text messages (together, the "Services").
By creating an account, purchasing a program, checking a box to agree, or using the Services, you agree to these Terms, our Privacy Policy, and our SMS Terms. If you don't agree, please don't use the Services.
You must be at least 18 years old and able to enter into a binding contract. If you sign up on behalf of a business, you confirm you have authority to bind that business to these Terms, and "you" includes that business.
EquiSuite combines business coaching for horse trainers and riding programs with access to CRM and marketing automation software. The software is a white-labeled version of a platform provided by a third party (HighLevel, Inc.), and your use of it is also subject to that provider's applicable terms and acceptable use policies.
Subscription programs (billed monthly):
| Program | Price |
|---|---|
| Essentials | $197 per month |
| Accelerator | $597 per month |
| Professional | $997 per month |
| Pro Plus | $2,997 per month |
What's included in each program (coaching calls, software features, number of users, support levels, and so on) is described on our website or in your order form at the time of purchase. We may improve or change features over time, but we won't materially reduce what's included in your current paid term without notice.
Usage fees are billed separately. Program prices cover coaching and access to the software. They do not include usage-based charges, which are billed separately from your program price. These include text messaging (SMS and MMS), phone calls, and email sending. Usage charges are based on your actual activity at our then-current rates, which are available on request, and you authorize us to charge your payment method on file for them. Prices also do not include applicable taxes or other third-party fees.
You're responsible for keeping your login details secure and for everything that happens under your account, including activity by your team members. Let us know right away at [email protected] if you think your account has been accessed without permission.
We care a lot about your success, and we'll bring our best. But we can't promise specific outcomes. Results depend on many factors outside our control, including your effort, market, location, pricing, horses, staff, and how you apply what you learn.
When you use EquiSuite software to contact your own clients and leads, you agree to: - Follow all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state telemarketing and privacy laws, and wireless carrier and A2P 10DLC requirements - Get proper consent before sending text messages or marketing communications, and honor opt-out requests promptly - Not send spam, misleading content, or prohibited content (such as content related to illegal activity, hate, harassment, or other categories disallowed by carriers or our platform provider) - Not upload purchased, rented, or scraped contact lists for messaging - Not attempt to hack, reverse-engineer, overload, or misuse the platform
You are responsible for the content you send and the data you upload. We may suspend or end access if we reasonably believe your use violates these Terms, the law, or carrier rules, or puts the platform or other users at risk.
All coaching materials, training content, templates, workflows, branding, and website content provided by EquiSuite belong to us or our licensors. While your account is in good standing, we grant you a limited, non-exclusive, non-transferable license to use them for your own business. You may not resell, share, republish, or distribute our materials, or share your login with people outside your business.
You keep ownership of your own content and data. You give us permission to use it only as needed to provide the Services.
The Services rely on third parties, including our software platform provider, payment processor, and wireless carriers. We aren't responsible for their outages, changes, or actions, though we'll do our best to help you work through any issues.
The Services are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that the software will be uninterrupted, error-free, or that every message will be delivered.
To the fullest extent permitted by law: - EquiSuite, its owner, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if we were told such damages were possible. - Our total liability for any claim related to the Services will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.
Some states don't allow certain limitations, so some of these may not apply to you.
You agree to defend and hold harmless EquiSuite and its owner, employees, and contractors from claims, damages, fines, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content or messages, your violation of these Terms, or your violation of any law or third-party right, including messaging and consent laws.
You can stop using the Services and cancel as described in Section 5. We may suspend or terminate your access if you violate these Terms, fail to pay, or misuse the platform. Sections that by their nature should survive termination (such as payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
These Terms are governed by the laws of the State of Nebraska, without regard to its conflict-of-law rules. If a dispute comes up, we'd like to try to resolve it informally first. Please email us at [email protected] and give us 30 days to work it out. If we can't, you and we agree that any legal action will be brought exclusively in the state or federal courts located in Douglas County, Nebraska, and both of us consent to those courts' jurisdiction.
We may update these Terms from time to time. We'll post the new version here with a new "Last Updated" date and, for material changes, notify you by email or in-app notice. Continuing to use the Services after changes take effect means you accept the updated Terms.
These Terms, together with our Privacy Policy, SMS Terms, and any order form, are the entire agreement between you and us about the Services. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver. You may not transfer your account or these Terms without our written consent.
